NBFC Seeks Fresh Market Debut Through ₹900 Crore IPO

New Delhi (Economy India): Veritas Finance Ltd, a non-deposit taking Non-Banking Financial Company (NBFC), has refiled its Draft Red Herring Prospectus (DRHP) with the Securities and Exchange Board of India (SEBI) for its proposed Initial Public Offering (IPO).

The public issue comprises a fresh issue of equity shares worth ₹900 crore, along with an Offer for Sale (OFS) of up to 1.28 crore equity shares by existing shareholders.

The company submitted the revised draft documents on Wednesday, shortly before the regulatory approval for its earlier IPO proposal was due to expire.

IPO Structure

According to the DRHP, the proposed IPO consists of two components:

  • Fresh Issue: Equity shares worth ₹900 crore
  • Offer for Sale (OFS): Up to 1.28 crore equity shares by existing shareholders

The proceeds from the fresh issue are expected to strengthen the company’s capital base and support future business expansion, while the OFS will enable existing investors to partially monetize their holdings.

Why the Company Refiled

Veritas Finance had previously received regulatory clearance for its IPO. However, with the approval nearing expiry, the company has chosen to refile its draft papers with SEBI to keep its listing plans on track.

Refiling is a common process when companies require additional time to launch their public issue or need to update financial information and regulatory disclosures.

About Veritas Finance

Veritas Finance is a non-deposit taking NBFC focused on providing credit solutions to micro, small and medium enterprises (MSMEs), self-employed individuals and underserved borrowers.

The company has built its presence across multiple states by offering secured business loans and retail financing products aimed at promoting financial inclusion.

India’s IPO Market Remains Active

India’s primary market continues to witness strong activity, with companies across financial services, technology, manufacturing and consumer sectors tapping the capital markets to raise growth capital.

A stable domestic economy, increasing retail investor participation and strong institutional demand have kept the IPO pipeline robust in 2026.

What Investors Should Watch

Investors will closely monitor the updated DRHP for details on:

  • Financial performance
  • Asset quality
  • Loan portfolio growth
  • Valuation
  • Risk factors
  • Utilisation of IPO proceeds
  • Shareholding pattern after listing

The final issue size, price band and listing schedule will be announced after SEBI completes its review and grants the necessary observations.

Key Highlights

  • Veritas Finance has refiled its IPO papers with SEBI.
  • The IPO includes a ₹900 crore fresh issue.
  • Existing shareholders will sell up to 1.28 crore equity shares through an Offer for Sale.
  • The company refiled its DRHP before the earlier regulatory approval expired.
  • The IPO aims to strengthen capital and support future business growth.

Economy India Analysis

The decision to refile the IPO documents reflects Veritas Finance’s continued commitment to accessing public markets despite procedural timelines. As demand for credit among MSMEs and small businesses remains strong, investors are expected to closely evaluate the NBFC’s growth strategy, loan book quality and capital adequacy. With India’s IPO market maintaining healthy momentum, the offering could attract significant institutional and retail interest once regulatory approvals are completed.
