NBFC Seeks Fresh Market Debut Through ₹900 Crore IPO

New Delhi (Economy India): Veritas Finance Ltd, a non-deposit taking Non-Banking Financial Company (NBFC), has refiled its Draft Red Herring Prospectus (DRHP) with the Securities and Exchange Board of India (SEBI) for its proposed Initial Public Offering (IPO).

The public issue comprises a fresh issue of equity shares worth ₹900 crore, along with an Offer for Sale (OFS) of up to 1.28 crore equity shares by existing shareholders.

The company submitted the revised draft documents on Wednesday, shortly before the regulatory approval for its earlier IPO proposal was due to expire.

IPO Structure

According to the DRHP, the proposed IPO consists of two components:

  • Fresh Issue: Equity shares worth ₹900 crore
  • Offer for Sale (OFS): Up to 1.28 crore equity shares by existing shareholders

The proceeds from the fresh issue are expected to strengthen the company’s capital base and support future business expansion, while the OFS will enable existing investors to partially monetize their holdings.

Why the Company Refiled

Veritas Finance had previously received regulatory clearance for its IPO. However, with the approval nearing expiry, the company has chosen to refile its draft papers with SEBI to keep its listing plans on track.

Refiling is a common process when companies require additional time to launch their public issue or need to update financial information and regulatory disclosures.
