Solar Manufacturing Arm of Brookfield-Backed Avaada Group Plans ₹1,600-Crore Fresh Issue and ₹6,000-Crore Offer for Sale
New Delhi (Economy India): Avaada Electro Ltd, the solar manufacturing arm of the Brookfield-backed Avaada Group, has filed updated draft papers with the Securities and Exchange Board of India (SEBI) for its proposed ₹7,600-crore Initial Public Offering (IPO).
According to the Updated Draft Red Herring Prospectus (UDRHP) made public on Wednesday, the proposed IPO will comprise a fresh issue of equity shares worth ₹1,600 crore and an Offer for Sale (OFS) of ₹6,000 crore by promoter Avaada Ventures Pvt Ltd.
The proposed public issue comes at a time when India’s renewable energy and solar manufacturing sectors are witnessing increased investment and policy focus, as the country seeks to expand domestic manufacturing capabilities and accelerate the transition towards clean energy.
₹7,600-Crore IPO Structure
The proposed IPO of Avaada Electro will have two components:
- Fresh Issue: ₹1,600 crore
- Offer for Sale: ₹6,000 crore
The fresh issue will result in new capital being raised by the company, while proceeds from the OFS will go to the selling promoter, Avaada Ventures Pvt Ltd.
With the OFS accounting for the larger portion of the proposed issue, the IPO will also provide the promoter with an opportunity to partially monetize its holding in the solar manufacturing company.

₹1,200 Crore to Be Used for Debt Repayment
A major portion of the proceeds from the fresh issue is proposed to be used to strengthen the company’s financial position.
According to the updated draft papers, ₹1,200 crore out of the ₹1,600-crore fresh issue will be used to repay or prepay certain borrowings and meet obligations under letters of credit.
The remaining proceeds will be used for general corporate purposes.
The proposed use of funds indicates that reducing financial obligations will be one of the key objectives of the IPO. Lower debt-related obligations could potentially help the company manage its balance sheet and financial resources more efficiently.
What Is an Offer for Sale?
The proposed ₹6,000-crore OFS is an important component of the Avaada Electro IPO.
Under an Offer for Sale, existing shareholders sell their shares to public investors. Unlike a fresh issue, the proceeds from an OFS do not go to the company.
In Avaada Electro’s case, the OFS will be undertaken by promoter Avaada Ventures Pvt Ltd.
This means that while the fresh issue will provide new capital to Avaada Electro, the OFS will facilitate a partial sale of the promoter’s existing stake.
Avaada Electro’s Role in India’s Solar Manufacturing Industry
Avaada Electro is part of the Avaada Group and operates in the solar manufacturing space.
India has been increasingly focusing on developing domestic renewable energy manufacturing capabilities. Along with expanding solar power generation, the country has been working towards strengthening its domestic supply chain for solar modules and related equipment.
The growth of renewable energy capacity, rising electricity demand and India’s clean-energy transition have created significant opportunities for companies operating across the solar manufacturing ecosystem.
For manufacturers, however, the sector also requires substantial capital investment, technological capabilities, scale and efficient financial management.
Why the IPO Matters
The proposed IPO represents a significant step for Avaada Electro as it seeks to access India’s public capital markets.
The ₹1,600-crore fresh issue will provide the company with additional capital, with a substantial portion earmarked for debt repayment or prepayment and obligations related to letters of credit.
Meanwhile, the ₹6,000-crore OFS will allow the promoter to sell part of its existing stake.
The proposed issue therefore combines corporate fundraising with promoter stake monetisation.
Renewable Energy Sector Remains in Focus
India’s renewable energy sector has emerged as a major area of investment as the country seeks to increase its clean-energy capacity and reduce dependence on conventional energy sources.
Solar power has been at the centre of this transition because of India’s strong solar potential and the declining cost of solar technology.
As solar installations expand, the need for a strong domestic manufacturing ecosystem is also increasing.
Companies operating in solar manufacturing are therefore expected to play an important role in India’s broader renewable energy ambitions.

What Investors Should Watch
For investors, the Avaada Electro IPO will be important not only because of its size but also because of the company’s position in the solar manufacturing industry.
Before considering participation in an IPO, investors generally need to evaluate several factors, including:
- Company’s financial performance
- Existing debt and financial obligations
- Manufacturing capacity and expansion plans
- Revenue and profitability trends
- Industry competition
- Raw material and supply-chain risks
- Government policies affecting solar manufacturing
- Valuation and proposed IPO price
- Promoter shareholding after the issue
- Detailed use of IPO proceeds
The fact that a significant portion of the fresh issue is proposed to be used for debt repayment will also be an important consideration when evaluating the company’s financial position.
Regulatory Process Still Underway
The filing of updated draft papers with SEBI marks an important stage in the IPO process, but it does not by itself mean that the public issue has received final regulatory approval or that the IPO will open immediately.
The company will need to proceed through the applicable regulatory process before the final offer document and issue details are released.
Details such as the final IPO dates, price band, lot size and other issue-related information are expected to become available as the company progresses through the IPO process.
Investors should rely on the final offer documents for the most accurate information before making any investment decision.
A Significant Capital Markets Move
The proposed ₹7,600-crore IPO could become an important capital-market transaction for India’s solar manufacturing sector.
The ₹1,600-crore fresh issue is expected to strengthen Avaada Electro’s capital base, while the proposed ₹6,000-crore OFS will provide the promoter with an opportunity to partially monetize its investment.
The allocation of ₹1,200 crore from the fresh issue towards repayment or prepayment of certain loans and meeting letter-of-credit obligations also highlights the company’s focus on managing its financial commitments.
Avaada Electro
The long-term prospects for Avaada Electro will be closely linked to the growth of India’s solar manufacturing industry, domestic demand for solar equipment, policy support, manufacturing capacity and the company’s ability to compete effectively in the market.
The renewable energy transition offers significant growth opportunities, but solar manufacturing is also a capital-intensive and competitive business. Factors such as technology, scale, input costs, supply chains and changes in government policies can influence the performance of companies operating in the sector.
The IPO will therefore provide investors with an opportunity to examine Avaada Electro’s business model and financial position in greater detail through its final offer documents.
