Solar Manufacturing Arm of Brookfield-Backed Avaada Group Plans ₹1,600-Crore Fresh Issue and ₹6,000-Crore Offer for Sale

New Delhi (Economy India): Avaada Electro Ltd, the solar manufacturing arm of the Brookfield-backed Avaada Group, has filed updated draft papers with the Securities and Exchange Board of India (SEBI) for its proposed ₹7,600-crore Initial Public Offering (IPO).

According to the Updated Draft Red Herring Prospectus (UDRHP) made public on Wednesday, the proposed IPO will comprise a fresh issue of equity shares worth ₹1,600 crore and an Offer for Sale (OFS) of ₹6,000 crore by promoter Avaada Ventures Pvt Ltd.

The proposed public issue comes at a time when India’s renewable energy and solar manufacturing sectors are witnessing increased investment and policy focus, as the country seeks to expand domestic manufacturing capabilities and accelerate the transition towards clean energy.

₹7,600-Crore IPO Structure

The proposed IPO of Avaada Electro will have two components:

  • Fresh Issue: ₹1,600 crore
  • Offer for Sale: ₹6,000 crore

The fresh issue will result in new capital being raised by the company, while proceeds from the OFS will go to the selling promoter, Avaada Ventures Pvt Ltd.

With the OFS accounting for the larger portion of the proposed issue, the IPO will also provide the promoter with an opportunity to partially monetize its holding in the solar manufacturing company.

₹1,200 Crore to Be Used for Debt Repayment

A major portion of the proceeds from the fresh issue is proposed to be used to strengthen the company’s financial position.

According to the updated draft papers, ₹1,200 crore out of the ₹1,600-crore fresh issue will be used to repay or prepay certain borrowings and meet obligations under letters of credit.

The remaining proceeds will be used for general corporate purposes.

The proposed use of funds indicates that reducing financial obligations will be one of the key objectives of the IPO. Lower debt-related obligations could potentially help the company manage its balance sheet and financial resources more efficiently.

What Is an Offer for Sale?

The proposed ₹6,000-crore OFS is an important component of the Avaada Electro IPO.

Under an Offer for Sale, existing shareholders sell their shares to public investors. Unlike a fresh issue, the proceeds from an OFS do not go to the company.

In Avaada Electro’s case, the OFS will be undertaken by promoter Avaada Ventures Pvt Ltd.

This means that while the fresh issue will provide new capital to Avaada Electro, the OFS will facilitate a partial sale of the promoter’s existing stake.

Avaada Electro is part of the Avaada Group and operates in the solar manufacturing space.

India has been increasingly focusing on developing domestic renewable energy manufacturing capabilities. Along with expanding solar power generation, the country has been working towards strengthening its domestic supply chain for solar modules and related equipment.

The ₹1,600-crore fresh issue will provide the company with additional capital, with a substantial portion earmarked for debt repayment or prepayment and obligations related to letters of credit.

Meanwhile, the ₹6,000-crore OFS will allow the promoter to sell part of its existing stake.

The proposed issue therefore combines corporate fundraising with promoter stake monetisation.
